Article 1 — Purpose and scope

These Terms and Conditions (the "Terms") govern, without restriction or reservation, the entire contractual relationship between Captain Legal LLC ("Captain.Legal") and any user, whether consumer or business (the "User"), placing an order on www.captain.legal.

Placing an order implies the User's unreserved acceptance of these Terms, which the User acknowledges having reviewed prior to validating the order.

Article 2 — Definitions

"Document": a legal document template generated and customised from the answers provided by the User, made available in PDF and, where applicable, Word format.

"Consumer": an individual acting wholly or mainly outside their trade, business, craft or profession, within the meaning of the Consumer Rights Act 2015.

Article 3 — Services offered

Captain.Legal provides a service for generating, customising and downloading legal document templates through an interactive form. Documents are provided for informational and documentary purposes only and do not constitute personalised legal advice. For complex matters, consulting a qualified solicitor is recommended.

Article 4 — User account

Certain features may require the creation of an account. The User agrees to provide accurate information and is solely responsible for the confidentiality of their credentials.

Article 5 — Order process

The User selects a Document, completes the form, previews the result and validates the order. Validation, preceded by acceptance of these Terms, forms the contract.

Article 6 — Prices

Prices are shown in pounds sterling, including VAT where applicable. Some Documents are offered free of charge. The applicable price is the one displayed at the time the order is validated.

Article 7 — Payment terms

Payment is made online, in full, through the secure providers PayPal and Stripe. The order is definitively recorded only after effective confirmation of payment. Captain.Legal never has access to the User's full payment card details.

Article 8 — Delivery of the Document

Upon payment, the User immediately accesses the download. A download link valid for 48 hours and an invoice are sent by email. Non-receipt attributable to an incorrect address or spam filter does not engage Captain.Legal's liability; reasonable means will nonetheless be used to allow renewed access.

Article 9 — Right of cancellation

Pursuant to the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013, the right of cancellation does not apply to the supply of digital content where performance has begun with the User's express consent and acknowledgement that the right to cancel is thereby lost.

By validating the order and downloading the Document, the consumer User gives such consent and acknowledgement and accordingly loses the right to cancel. No refund may therefore be claimed on that basis.

Article 10 — Statutory rights

Nothing in these Terms affects the consumer User's statutory rights under the Consumer Rights Act 2015, including that digital content must be of satisfactory quality, fit for purpose and as described, within the limits inherent to a Document supplied as a configurable template. In the event of a proven technical defect, the User should promptly contact customer service.

Article 11 — Licence of use

The purchase of a Document grants the User a personal, non-exclusive and non-transferable licence limited to their own needs, for private or professional use. Reselling, redistributing, publishing or commercially exploiting the templates, as well as any substantial extraction of Captain.Legal's databases, is strictly prohibited.

Article 12 — User obligations

The User agrees to use the site and the Documents fairly and in accordance with their intended purpose, and warrants the accuracy of the information entered in the forms, on which the relevance of the generated Document depends.

Article 13 — Liability

The Documents are templates that must be adapted and verified according to each User's situation. Captain.Legal assumes no duty to advise and shall not be liable for any legal, financial or tax consequences arising from their use.

Nothing in these Terms excludes or limits liability that cannot lawfully be excluded. Subject to the foregoing, Captain.Legal's liability is limited to the amount actually paid for the order concerned and excludes indirect or consequential loss.

Article 14 — Force majeure

Captain.Legal shall not be liable for any failure or delay in performance resulting from an event beyond its reasonable control, including failures of networks, technical providers or payment providers.

Article 15 — Complaints and dispute resolution

For any complaint, the User may contact customer service through our contact form. Failing a satisfactory resolution, the consumer User may refer the matter to a certified alternative dispute resolution (ADR) provider.

Article 16 — Personal data

Data collected during the order is processed in accordance with the UK GDPR, the Data Protection Act 2018 and our Privacy Policy. The competent supervisory authority is the Information Commissioner's Office (ICO).

Article 17 — Intellectual property

All elements of the site and templates remain the exclusive property of Captain.Legal. Nothing in these Terms constitutes an assignment of intellectual property rights to the User, other than the licence set out in Article 11.

Article 18 — Changes and governing law

Captain.Legal reserves the right to amend these Terms at any time; the Terms applicable to an order are those accepted at the time of that order. These Terms are governed by the laws of England and Wales, without prejudice to mandatory consumer protection rules of the User's country of residence. The courts of England and Wales shall have jurisdiction.
