Company-owned vehicles raise a question of authority before any question of price. The Licensing Office checks that the chop on TD25 matches its records, not whether the signatory was authorised to sell. A buyer should ask for a board resolution naming the signatory, which our board and written resolutions pack under Cap. 622 produces in minutes. Where a director buys the car from the company, a material interest must be declared under section 536 of Cap. 622.
Cars under hire purchase or a car loan remain the property of the finance company until the last instalment. Under section 23 of Cap. 26 a buyer acquires no better title than the seller had, and Hong Kong has no equivalent of the English statutory protection for private purchasers of financed cars. The seller should obtain a settlement letter and the lender's release. Never pay the full price to a seller who cannot produce the lender's written release.
Personalised and auctioned registration marks follow their own rules. A personalised mark is evidenced by its Certificate of Allocation, which the Transport Department asks for on a change of ownership, and a seller who wants to keep a mark must deal with it before signing TD25. The agreement states whether the mark is included.
Consignment sales through a used car showroom change the analysis. When a dealer sells as agent in the course of business, the quality terms of section 16 of Cap. 26 can apply even though the owner is a private individual. Vehicles unlicensed for two years or more carry a further rule since 22 December 2025: the new owner must relicense the car as soon as practicable or apply afresh for an exemption, so the agreement records the licence status at handover.
